Why Form a Company in Syria

Syria’s economy is in a period of reconstruction and regulatory reform. The post-2024 transitional government has liberalized trade, lifted sanctions, and introduced a free-market economic framework. For foreign investors — especially from the UAE — this creates a clear window of opportunity.

Market context: The Syrian government has committed to market liberalization, removing import controls and welcoming foreign direct investment. The economic recovery is being supported by the return of skilled professionals and infrastructure investment from regional partners. These developments are making Syria one of the most promising frontier markets in the region.

Available Company Structures

We handle the registration of the following entity types in Syria. Each structure serves a different purpose — we help you choose the right one.

Limited Liability Company (LLC)

Best for small to medium enterprises. Requires at least two partners. Capital minimum is determined by activity type. Liability is limited to share capital.

Most common

Joint Stock Company (JSC)

For large-scale projects and public offerings. Requires a minimum of three founders. Higher capital requirements. Suitable for manufacturing, banking, and infrastructure.

Foreign Company Branch

For existing foreign companies that need a direct presence in Syria. No new local entity required. The parent company bears full liability. Ideal for contracting and service firms.

For UAE companies

Sole Proprietorship

For individual entrepreneurs. Full personal liability. Lower registration costs. Suitable for consultants, agents, and small traders.

Joint Venture

Contractual partnership between a foreign investor and a Syrian partner. No separate legal entity required. Governed by a joint venture agreement.

Representative Office

For market research and promotional activities only. Cannot conduct commercial transactions. Low setup cost. Useful as a first step before full registration.

Frequently Asked Questions

Yes. Under the current investment law, foreign investors can own up to 100% of an LLC or JSC in most sectors. Some strategic sectors (banking, insurance, media) require local partnership. We clarify ownership rules specific to your target sector during the consultation.

Typically: certificate of incorporation from UAE, board resolution authorizing the Syria branch, passport copies of shareholders/directors, and proof of address. All documents must be attested by the Syrian embassy in the UAE and translated into Arabic. We handle the entire attestation and translation process.

Not for most steps. We handle the process on your behalf through our Damascus office. You may need to travel for signing certain documents before authorities or for the final license collection. We coordinate the entire visit including appointments and logistics.

The minimum capital varies by activity type. Trading companies typically require lower capital than industrial or financial activities. We provide the exact figure for your specific activity during the Assessment phase. Capital can usually be contributed in cash or in kind.

Corporate income tax ranges from 10% to 28% depending on the sector and profit level. Qualifying investments may receive tax exemptions for 5-10 years under the investment law. There is also a withholding tax on certain payments and social security contributions for employees.

Typically 4 to 12 weeks from complete document submission. An LLC can be registered in 4-8 weeks. A JSC or branch may take 8-12 weeks due to additional approval requirements. We provide a realistic timeline for your specific case in the Assessment package.
